Pursuant to § 34 Section 1 Item 1 of the Polish Ordinance of the Minister of Finance of October 19, 2005 regarding current and periodic information to be submitted by issuers of securities (Dziennik Ustaw of 2005, No. 209, Item 1744) UniCredit S.p.A. (the "Company") would like to announce that on December 1, 2008 it received a notification from the Operating Department of the Polish National Depository for Securities (Krajowy Depozyt Papierów Wartościowych S.A., "NDS") of having satisfied, effective November 28, 2008, the requirements set out in Resolution No. 641/08 of the Management Board of NDS dated November 21, 2008 which enabled the registration with NDS of the Company’s shares designated with the code IT0000064854.
